1. Acceptance of Terms

By accessing or using Lucid Private Market ("Platform"), you agree to be bound by these Terms of Use. If you do not agree to these terms, you may not use the Platform. These terms constitute a legally binding agreement between you and Lucid Realty LLC ("Company," "we," or "us").

2. Platform vs. Brokerage — Important Distinction

Lucid Private Market is a technology platform. It provides tools for connecting private home sellers with verified buyers through an invitation-only marketplace. The Platform itself does not provide real estate brokerage services, legal advice, or financial advice.

Lucid Realty LLC (Florida brokerage license CQ-1069231, Broker: Morgan Sloan, license BK-3596304) is a separately licensed Florida real estate brokerage that provides brokerage services including property showings, transaction coordination, and offer facilitation. There is a strict legal firewall between the technology platform and the brokerage entity.

3. User Roles and Eligibility

The Platform supports the following user roles:

  • Sellers: Property owners who wish to market their homes privately, off-MLS.
  • Buyers: Individuals who complete the verification process to access private listings.
  • Agents: Licensed real estate agents operating on the Platform.

You must be at least 18 years of age and legally capable of entering into binding contracts to use the Platform. You are responsible for maintaining the confidentiality of your account credentials.

4. Buyer Verification

To access the private marketplace, buyers must complete a multi-step verification process including identity verification, financial pre-approval or proof of funds documentation, and purchase timeline confirmation. Verification status expires every 90 days and must be renewed to maintain marketplace access.

The Company reserves the right to deny, revoke, or suspend verification at its sole discretion.

5. Buyer Identity Protection

Buyer identity is protected by the Platform and is not revealed to sellers until the buyer submits an offer. Prior to offer submission, sellers may only view anonymized buyer profiles showing verification status, budget range, financing type, and purchase timeline. By submitting an offer, the buyer consents to the disclosure of their identity to the seller for the purposes of that transaction.

6. Invitations

Sellers may issue private invitations to verified buyers to view their property listings. Invitations are non-binding. Receiving an invitation does not obligate any party to proceed with a transaction, showing, or offer. Invitations are informational and serve only to extend access to view a private listing.

7. Seller Acknowledgements

By listing a property on Lucid Private Market, sellers acknowledge and agree that:

  • Listings are not syndicated to MLS or any public real estate portal. The property will have limited exposure compared to traditional public listings.
  • The Platform does not guarantee any number of buyer inquiries, showings, or offers.
  • Search engine indexing of listing data is blocked. The Platform is designed to maintain listing privacy.
  • Sellers are responsible for the accuracy of their listing information.

8. Priority Buyer Membership

The Platform offers paid Priority Buyer memberships with enhanced features including early access to new listings, higher placement in seller searches, the "Lucid Verified" badge, and SMS buy-box alerts.

  • Membership fees are billed in advance at the selected interval (monthly, semi-annual, or annual).
  • Priority Buyer membership does not guarantee that a buyer will receive invitations, viewings, or that any transaction will result from membership.
  • The "Lucid Verified" badge indicates that a buyer has completed verification and holds an active paid membership. It is not a guarantee of financial capability or transaction completion.
  • Refunds are subject to the Company's refund policy at the time of purchase.

9. Fair Housing Compliance

Lucid Private Market operates in full compliance with the Fair Housing Act. We do not discriminate on the basis of race, color, national origin, religion, sex, familial status, or disability. No buyer search filters based on protected-class characteristics or proxy attributes are available on the Platform. Users who violate fair housing laws will be immediately suspended and reported to the appropriate authorities.

10. Prohibited Conduct

You agree not to:

  • Provide false or misleading information during registration, verification, or listing creation
  • Attempt to circumvent buyer identity protections or access other users' private information
  • Scrape, crawl, or otherwise extract data from the Platform for unauthorized purposes
  • Use the Platform for any purpose that violates applicable law, including fair housing laws
  • Interfere with or disrupt the Platform's security, integrity, or performance
  • Share your account credentials or allow others to use your account

11. Audit Logging

All sensitive actions on the Platform are recorded in an append-only audit log. This includes account creation, verification events, role changes, listing creation, invitation issuance, offer submission, and access control decisions. Audit logs are maintained for compliance and security purposes and cannot be modified or deleted.

12. Limitation of Liability

To the maximum extent permitted by law, Lucid Realty LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. The Platform is provided "as is" without warranties of any kind. We do not guarantee the accuracy, completeness, or reliability of any listing information, buyer verification data, or other content on the Platform.

13. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will survive, including limitations of liability, audit log retention, and governing law.

14. Governing Law

These Terms of Use are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any legal action or proceeding arising under these terms shall be brought exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of such courts.

15. Changes to These Terms

We reserve the right to modify these Terms of Use at any time. We will notify users of material changes by posting the updated terms on this page with a revised "Last updated" date. Your continued use of the Platform following any changes constitutes your acceptance of the revised terms.
